TERMS & CONDITIONS FOR SOCIAL MEDIA COMPETITION


The terms and conditions which apply to all social media competitions (“Competition” or “Competitions”) run by and/or in collaboration with Zilliqa Research Pte Ltd are set out below.

In addition, some of our social media competitions may also be subject to additional specific terms and conditions which can be found under the relevant competition announcement post on social media (referred to as a “Competition Announcement Post”).

Redemption of prizes may also be subject to additional terms and conditions imposed by the supplier of the prize or other organisations connected to the Competition. Where this is the case, this will be clearly indicated in the relevant Competition Announcement Post.

The terms and conditions set out below and any specific terms and conditions set out in the relevant Competition Announcement Post are together referred to in this document as the rules (“Rules”).

BACKGROUND

The Promoter of each Competition is Zilliqa Research Pte Ltd, of 12 Mulberry Place, Pinnell Road, London, England, SE9 6AR.  The Promoter may run various competitions via its own social media platforms or in collaboration with its ambassadors and partners (“Partners”).

Zilliqa Research Pte Ltd will announce Competitions via Competition Announcement Posts which will appear on its own, or its Partners’, social media platforms.

By entering a Competition, all participants (referred to as “Entrants”) agree to be bound by the Rules, including the following terms and conditions:

QUALIFYING ENTRANTS

The Promoter’s employees, interns and consultants, and their immediate families, and the Promoter’s suppliers, associated companies and agencies are ineligible to enter Competitions.

Competitions are open to individuals who will be at least eighteen (18) years of age on the date on which the entry is submitted.

Entrants must have a residential address in any of the Promoter’s markets (i.e., a country in which the Promoter operates at date of the entry).

Entrants must have an active and public personal Instagram, Facebook, TikTok, Discord or Twitter account (referred to as a “Social Media Account”) registered in their own name.

Entrants are not entitled to enter Competitions if they are resident in a country or jurisdiction where the nature of the Competition may breach any law or regulation and any such entries will be considered void and will not be entered into the Competition.

By entering the Competition, Entrants agree to be bound by and comply with the Rules.

ENTRY PERIOD

Entrants can enter the Competition at any time between the opening and closing dates and times set out in the Competition Announcement Post for the relevant Competition.

PRIZE

Details of the prize or prizes (if any) for each Competition are set out in each Competition Announcement Post and can be redeemed by the winner or winners (if any), in accordance with the Rules.  

The prize or prizes (if any) are non-transferable and non-refundable. The winner or winners (if any) cannot request any alternative prize or cash alternative.

The number of winners to be selected in respect of each Competition shall be set out in the Competition Announcement Post. Where there are to be multiple winners, details of the prize which each winner shall receive will also be set out in the Competition Announcement Post.

COMPETITION ENTRIES

To enter the Competition, Entrants must follow the Rules. The Promoter reserves the right to verify the eligibility of all Entrants.

Entrants may only submit one entry to this promotion.

By entering a Competition, Entrants confirm that they are eligible to do so and eligible to claim any prize they may win.

Entrants acknowledge and agree that the prize set out under each Competition Announcement Post may be subject to tax by the Entrants’ national legislation and authorities. The Promoter cannot be held responsible for any costs associated with redeeming a prize, other than what is specified in the Rules. If costs such as taxes or loss of income would arise as a result of winning a Competition, they shall be covered by the Entrants.

No purchase or payment of any kind is necessary to enter or win a Competition. There is currently no cost to register for the social media platforms to enter a Competition. However, internet connection and usage rates may apply. All Entrants should obtain details of such costs from their service providers. The Promoter will not be liable for any such costs.

DISQUALIFICATION

The Promoter reserves all rights to disqualify an Entrant if the Entrant’s conduct is contrary to the spirit or intention of the Competition or where the Entrant has breached any of the Rules.

Late or incomplete entries which do not satisfy the requirements set out in the Rules will be disqualified and as such, shall be considered void and shall not be entered into the relevant Competition.  The Promoter accepts no liability for any such late or incomplete entry.

Any entry containing unlawful, obscene, vulgar, pornographic, hateful, threatening, discriminatory, offensive or other content which may infringe third-party rights will be disqualified. In addition, the Promoter reserves the right to take any further action in respect of such entries and/or to remove any material deemed offensive or infringing on third party rights from its website or social media accounts. In such case, the relevant Entrant will be disqualified from the relevant Competition.

WINNER SELECTION

All eligible Entrants will be selected in accordance with the Rules. Selection is final, and no correspondence related to Competitions will be entered into by the Promoter.

The winner of a Competition will be the first Entrant randomly selected from all entries correctly submitted in accordance with the Rules.

WINNER ANNOUNCEMENT

By entering a Competition and accepting the Rules, all Entrants hereby agree that in the event that they are selected as a winner, the Promoter may publish publicly their entry together with sufficient detail to identify that a winner was fairly selected on any of the Promoter’s, or its Partners’, social media channels and/or website (e.g., their name and country of residence). If Entrants do not want their entry or information to be published in this way, please email [email protected] prior to the closing date of the relevant Competition. In such circumstances, the Promoter will still be entitled to provide the information and winning entry to the Advertising Standards Authority on request.

WINNER NOTIFICATION AND CLAIMING THE PRIZE

The winner or winners (if any) will be notified via a direct message which will be sent to the account under which the winning entry was submitted on the relevant social media platform. Please allow 60 days for delivery of the prize.

The Promoter reserves the right to request proof of a winner's identity in the form of a passport or driver's license and proof of address in the form of a utility bill. If a winner cannot provide the Promoter with proof of identity deemed to be reasonably acceptable, the Promoter may withdraw the prize and select another winner from the remaining eligible entries in accordance with the process described above. In addition, the winner or winners (if any) may need to submit additional information to redeem the prize. The Promoter reserves the right to disqualify the winner if the winner does not provide the necessary additional information.

The Promoter reserves the right to disqualify the winner or winners (if any) if the winner fails to reply to the Promoter’s message within forty-eight (48) hours and provide the Promoter with the necessary information, except in the case of Competitions in respect of which an alternative time period for a response is specified in the relevant Competition Announcement Post. Where no response is received within the relevant time period, the Promoter may select an alternative winner from the remaining eligible entries in accordance with the process described above.

If for any reason the winner chooses not to pick up or take part of the prize or any part of the prize, the Promoter reserves the right to ask the winner to confirm this in writing, so the Promoter is able to select another winner from the remaining eligible entries in accordance with the process described above.

INTELLECTUAL PROPERTY RIGHTS AND USE OF ENTRIES

All competition entries and any accompanying material submitted to the Promoter will become the property of the Promoter on receipt and will not be returned.

If an entry contains photographs or video images of other people, the Entrant must ensure that they inform them that they intend to use the material for the purposes of the Competition and obtain their consent (or the consent of their parent or guardian where the person is under 18 years of age).  

The Promoter may ask an Entrant for evidence of such consent and reserve the right to disqualify an entry if the Entrant is unable to provide it or if the Promoter has doubts about its adequacy.  

All Entrants grant the Promoter a non-exclusive, worldwide, irrevocable licence to moderate and use their entry on any of the Promoter’s, or its Partners’, marketing channels and for any other purposes connection to the Competition.  The licence will last for the duration of the applicable intellectual property right and includes a right for the Promoter to: (i) edit or modify an entry; (ii) adapt it or incorporate it into other materials; (iii) sub-licence it to third parties; and (iv) republish it (or any modified version of it) on any media anywhere in the world.  Due to the nature of the social media platforms, all entries and associated personal data will be public to all.

Clauses 9.1 to 9.4 above will apply where the nature of a Competition requires that Entrants submit a creative work as part of their entry, e.g., an artistic piece, photograph or piece of writing in which they could hold intellectual property rights as the creator of the work. Where the entry involves this type of submission, Competition entries cannot be returned.

All Entrants acknowledge that third parties will have access to and will be able to republish their entries in accordance with the terms of use of the social media platform through which the entries are submitted. Entrants are encouraged to review these terms of use prior to submitting an entry.

By entering this Competition, all Entrants agree that the Promoter may hold and use all personal data given to the Promoter by the Entrants for the purpose of managing the relevant Competition, including publishing the data of the winner or winners as described in clause 7.1 above. The Promoter will use the Entrants’ personal data only in accordance with these terms and conditions and its Privacy Policy which can be found here: https://www.zilliqa.com/privacy-policy.

LIABILITY

Insofar as is permitted by law, the Promoter, its agents or distributors will not in any circumstances be responsible or liable to compensate the winner  or accept any liability for any loss, expenses, damages, liability or injury arising from entering any Competition or in any other way relating to any Competition, other than those costs and expenses specifically provided for in the prize or liability which cannot be excluded by law.

CHANGES TO THE COMPETITION AND/OR T&C

The Promoter reserves the right to cancel or amend a Competition, prize (which will be amended only to a prize of equivalent or greater value (including, at the Promoter’s discretion a cash prize) or the Rules at any stage without notice where it becomes necessary to do so. Any changes to the prize, Competition or the Rules will be posted in the form of a social media post by the Promoter through its, or its Partners’, social media platforms.

SPONSORSHIP

No Competition is in any way sponsored, endorsed, administered by, or associated with any social media platform. By entering a Competition, Entrants agree to release the social media platform of any liability caused in respect of the Competition.

GOVERNING LAW

All Competitions and their Rules will be governed in accordance with English law, although if an Entrant is resident elsewhere they will retain the benefit of any mandatory protections given to the Entrant by the laws of that country. Any disputes will be subject to the non-exclusive jurisdiction of the courts of England (this means that the Entrant can choose whether to bring a claim in the courts of England or in the courts of another jurisdiction in which they live).
